These Terms of Service govern access to and use of MemBytes, a secure AI memory platform for importing, organizing, searching, and retrieving company knowledge from approved sources such as files, email, chat, cloud storage, images, and connector syncs.
1. Agreement to these terms
By creating an account, signing in, connecting a data source, uploading content, or using MemBytes, you agree to these terms. If you use MemBytes for a company or organization, you confirm that you are authorized to accept these terms on behalf of that organization.
2. Accounts and administrators
Each customer workspace is managed by one or more administrators. Administrators are responsible for creating users, assigning roles, configuring namespaces and categories, connecting third-party sources, managing imports, and reviewing audit activity. Users must keep their credentials secure and must notify the administrator if they believe an account has been compromised.
3. Authorized use
You may use MemBytes only for lawful business purposes and only with data you are authorized to access, upload, sync, search, or process. You must not use MemBytes to access another customer's data, bypass role permissions, test unauthorized access, upload malware, or violate the terms of any connected third-party service.
4. Customer data ownership
Customer data remains the property of the customer. MemBytes does not claim ownership of emails, chat records, documents, images, notes, imported files, metadata, connector records, or other content uploaded or synced into the platform. You grant MemBytes the limited right to process customer data only as needed to provide the service, maintain security, troubleshoot issues, and comply with lawful requirements.
5. Imports, connectors, and third-party services
MemBytes may connect to services such as Gmail, Google Drive, Slack, Microsoft Teams, Microsoft 365, spreadsheets, and other supported sources. You are responsible for granting the correct permissions, keeping connector credentials valid, and ensuring the connected account is permitted to share the selected records with MemBytes. Third-party services may change their APIs, permissions, pricing, limits, or availability, which may affect sync behavior.
6. AI features and memory search
MemBytes uses AI features to create embeddings, retrieve relevant memories, summarize information, and generate responses. AI responses are generated from available context and may be incomplete or incorrect. You should review important answers before using them for legal, financial, medical, security, employment, or other high-impact decisions.
7. Security and access control
MemBytes includes role-based access controls, organization isolation, namespace and scope controls, audit logs, and application-level encryption features. Customers are responsible for assigning roles carefully and reviewing access periodically. No system is guaranteed to be completely secure, but MemBytes is designed to reduce unauthorized access and limit exposure of sensitive memory content.
8. Prohibited content and activity
You must not upload or process content that you do not have the right to use, content that violates law or contractual obligations, credentials that should not be stored, malicious files, or content intended to harm, impersonate, defraud, or exploit others. MemBytes may restrict or suspend access if misuse, security abuse, or unauthorized activity is detected.
9. Cookies and privacy choices
MemBytes uses necessary cookies for login, security, routing, and consent storage. Optional analytics or marketing cookies are controlled through the cookie consent banner and Cookie Policy. Your use of MemBytes is also governed by the Privacy Policy.
10. Availability and changes
MemBytes may be updated, improved, interrupted, or modified from time to time. We may add, remove, or change features, connectors, limits, supported file types, models, or user interface elements. We try to keep the service reliable, but availability may depend on hosting providers, databases, AI providers, email providers, and third-party connector platforms.
11. Fees and billing
If your plan is paid, you agree to pay the applicable fees, usage charges, taxes, and renewal amounts shown in your order, invoice, or subscription agreement. AI usage, connector usage, storage, and background imports may create additional costs depending on your plan. Non-payment may result in restricted access or suspension.
12. Confidentiality
Each party may receive confidential business, technical, or operational information from the other. Confidential information must be protected using reasonable care and used only for the purpose of providing or using MemBytes. This does not limit disclosures required by law or information that becomes public through no fault of the receiving party.
13. Data export and deletion
Customers may request export or deletion of their workspace data, subject to technical limits, retention settings, backups, security logs, billing records, and legal obligations. Some audit records may be retained for security, fraud prevention, dispute handling, and compliance purposes.
14. Termination
You may stop using MemBytes at any time. We may suspend or terminate access if these terms are violated, payment is not made, a security risk exists, or continued use may create legal or operational harm. After termination, access to the workspace may be disabled, and data may be handled according to the retention and deletion rules for the account.
15. Disclaimers
MemBytes is provided on an "as is" and "as available" basis unless a written agreement says otherwise. We do not guarantee that every AI response, imported record, sync result, extracted memory, or search result will be accurate, complete, available, or suitable for a specific purpose.
16. Limitation of liability
To the maximum extent permitted by law, MemBytes will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill. Any total liability will be limited to the amount paid for the service during the period stated in the applicable order or agreement.
17. Updates to these terms
We may update these terms when the product, law, business model, or security requirements change. Continued use after an update means you accept the updated terms. Material changes should be reviewed by administrators before continued production use.
